Terms of Service

1. Acceptance of these terms

By creating a Helm Technologies LLC (“Helm”) account, installing Helm, or using any of our services (the “Services”), you agree to these Terms of Service (“Terms”). If you don’t agree, don’t use the Services. You represent that you are authorized to bind the business on whose behalf you are signing up.

2. What Helm does

Helm is software that helps service businesses respond to missed calls, qualify inbound leads over SMS, and deliver job details to the owner. The Services may include phone call forwarding, automated text messaging, lead summaries, dashboards, and related tools. Features change over time.

3. Changes to the Services

Features change over time. We may add, modify, remove, or replace any part of the Services, and we may change pricing or terms with reasonable notice. Plans are billed monthly with no contract, and you can cancel at any time.

4. Your account

You’re responsible for the accuracy of information in your account, the actions taken under it, and keeping your login credentials secure. Let us know promptly if you suspect unauthorized use.

5. Customer data

“Customer Data” means the messages, call records, phone numbers, recordings, and other content exchanged through the Services, including communications between you and your customers. You retain ownership of Customer Data. You grant Helm a limited license to process Customer Data solely to operate, maintain, and improve the Services, and as otherwise described in our Privacy Policy.

6. Acceptable use and SMS compliance

You agree to use the Services only for lawful business purposes, and to comply with all applicable laws and carrier rules, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and CTIA messaging guidelines. You represent that you have the necessary consent to receive and send messages to the phone numbers that interact with Helm on your behalf.

You will not use the Services to send spam, unlawful content, threats, harassment, or content that infringes on anyone’s rights. You will honor opt-out requests (e.g., “STOP”) and help Helm honor them. Helm may suspend or terminate access if we believe the Services are being misused.

7. Messaging disclaimer

Message and data rates may apply to the end recipients you communicate with through the Services. Delivery of text messages and phone calls depends on telecom carriers outside our control. We do not guarantee delivery, latency, or uptime.

8. Third-party services

Helm relies on third-party providers (for example, telephony, hosting, analytics, and AI model providers) to operate. Your use of the Services is subject to their terms where relevant. We are not responsible for third-party services beyond our reasonable control.

9. Intellectual property

Helm and its licensors retain all right, title, and interest in the Services, including software, designs, trademarks, and documentation. These Terms don’t grant you any rights other than the limited right to use the Services as described here.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON’T WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AUTOMATED RESPONSES WILL BE ACCURATE OR APPROPRIATE IN EVERY CASE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HELM AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100 USD.

12. Indemnification

You’ll defend, indemnify, and hold harmless Helm and its affiliates from any claims arising out of your use of the Services, your Customer Data, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You can stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably need to in order to protect the Services, our other users, or our business. On termination, sections that by their nature should survive (IP, disclaimers, liability caps, indemnity) will survive.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we’ll update the “Last updated” date and, where appropriate, notify you by email or in-app. Continued use after the change means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The state and federal courts located in San Diego County, California have exclusive jurisdiction over any dispute arising out of these Terms, and the parties consent to that jurisdiction.
